These Terms of Service ("Terms") govern your access to and use of the Vältgeist website at valtgeist.trade and, when made available, the Vältgeist pod software and hosting (together, the "Service"). The Service is provided by Vältgeist, a venture of the Euroswarms research institute ("Vältgeist", "we", "us"). By accessing the website, joining the waitlist, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and legally able to form a binding contract. You may not use the Service where doing so is prohibited by the laws or regulations that apply to you, or if you are a resident of, or located in, a jurisdiction where the Service or the use of crypto-assets is restricted or unlawful. You are solely responsible for determining whether your use is lawful where you are.
Vältgeist provides software and hosting. A "pod" is a hosted instance of the Phoenix market-making engine that you deploy, configure, and control, which provides concentrated liquidity on Solana pools using your own capital, held in a vault only you can withdraw from.
We make no representation, warranty, or promise as to profit, yield, or performance, and you should distrust anyone who does. Automated market making on volatile crypto-assets is experimental and carries a risk of total loss of the capital you deploy. Losses can arise from market movements, impermanent loss, smart-contract failure, network or oracle faults, adverse selection, third-party outages, and other causes. You should deploy only capital whose loss would not materially affect you. You accept all such risks.
If you join the waitlist, you consent to us contacting you about the availability of pods and related product updates. You can withdraw that consent and ask us to delete your details at any time by emailing [email protected]. See the Privacy Policy for how we handle your data.
When the Service launches, a pod is offered for a flat recurring subscription fee (indicated on the website as €19 per month per pod). We take no share of your profits. Fees, once published and agreed at sign-up, are as stated at the point of purchase. Applicable pricing, taxes, and payment terms will be presented before you subscribe.
The Service interacts with third-party infrastructure you also rely on, including the Solana network, wallet providers, decentralised exchanges and liquidity programs, hosting and payment providers. We do not control these and are not responsible for their acts, omissions, availability, or losses arising from them.
The Vältgeist name, marks, website, and the proprietary pod runtime and swarm layer are owned by us or our licensors. The underlying research — the verified strategy catalog and simulation harness — is published in our open repository under the license stated there. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of our proprietary materials.
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to uptime, accuracy, or results. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Vältgeist and the Euroswarms institute will not be liable for any loss of profits, revenue, data, or crypto-assets, or for any indirect, incidental, special, consequential, or punitive damages, arising out of or relating to the Service. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the fees you paid us in the three months before the event giving rise to the claim, or €100. Nothing in these Terms excludes liability that cannot lawfully be excluded (such as for fraud, or death or personal injury caused by negligence).
You agree to indemnify and hold harmless Vältgeist and the Euroswarms institute from claims, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the Service at any time and, when live, revoke a pod's delegation from your wallet and cancel your subscription. We may suspend or terminate access if you breach these Terms or where required by law.
We may update these Terms. Material changes will be reflected by updating the effective date above and, where appropriate, by notice. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of [[the European Union member state in which the Euroswarms entity is established]], without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
